WARRANTY. UNITED warrants equipment of it's manufacture to be free from defects in workmanship and material for the period of time specified in the product quotation description. If no warranty period is specified in the product quotation description, then the warranty period shall be as follows:
Hardness Testers and Electro-Mechanical Testing Machines: 24 months
Third party equipment and software supplied by United is subject to the warranty provisions of the respective manufacturer. Warranty period commences upon physical receipt of the item by the customer. If any part proves to be defective in workmanship or materials within the warranty period, UNITED will replace or repair the part free of charge provided that buyer has complied with all payment terms and conditions. Defective parts must be returned to the UNITED point of origin at the customer's expense for service. Any warranty service required at the customer's facility may be subject to charges for travel by persons providing such service. This warranty is in lieu of all other warranties, guarantees, obligations or liabilities expressed or implied by the seller or it's representatives and by statute or rule of law.

EXCLUSIONS. Equipment is not warranted against misuse. For example, overloading or excessive side forces on loadcells. Grips and fixtures are not warranted against wearout. For example, grip inserts dulled by continuous use are excluded from warranty replacement.
LIABILITY. UNITED assumes no liability for consequential damages of any kind. The buyer by acceptance of this equipment will assume all liability for it's use or misuse. A defect in any part of a machine or system shall not, when such part is capable of being repaired or renewed, operate to condemn such machine or system. Customer modifications of equipment or software may void the entire warranty.
SOFTWARE LICENSE. Software created by UNITED and furnished with it's systems is furnished for the exclusive use of the customer, with the single testing system that accompanies the software. UNITED software is protected by the US copyright laws and may not be sold, given or otherwise distributed to any third party without the express written consent of UNITED. The software license is temporary until payment terms are met. It may be rescinded by UNITED for non-compliance with payment terms. UNITED will verify that software provided by UNITED produces correct test results by comparison of computer test results with known results from standard specimens. Customer must furnish known test specimens for this purpose. Third party software, for example Microsoft Access(tm), furnished with UNITED systems is subject to the provider's software license. All items sold by the seller remain property of the seller until payments have been received in full.
CONDITIONS OF SALE. The seller shall not be liable for loss or damage due to delay in manufacture or delivery resulting from any causes beyond the seller's reasonable control, including but not limited to compliance with any regulations, orders, or instructions of any federal, state or municipal government or any department or agency thereof, force majeure, acts or omissions of the purchaser, acts of civil or military authorities, fires, strikes, factory shutdowns or alterations, embargoes, war, riots, delays in transportation and inability due to causes beyond the sellers reasonable control to obtain necessary labor, manufacturing facilities or materials from the sellers usual sources and any delays resulting from such causes shall extend delivery dates correspondingly. In no event shall the seller be liable for consequential or specific damages or act of delay due to any causes.
Buyer will indemnify and hold harmless United Calibration Corp, United Testing Systems, Inc ("United") and UNITED Testing Systems Canada Limited ("UNITED") for any violation by Buyer of the U.S. and Canadian export control laws and regulations. Buyer will cooperate with United in making the appropriate filing with the Bureau of Industry and Security at the U.S. Depatment or Commerce and any applicable foreign authority and will provide any information, certificates or documents as are reasonably requested by United or a U.S. Government agency with respect to the export or re-export of any United product, service or technology.
The seller reserves the right to make changes in design and manufacture of any item covered by this quotation without incurring any obligation to install the same upon units manufactured for or delivered to the buyer prior to such design change under any contract resulting from an order based upon this quotation.
This quotation shall become an agreement binding upon the buyer and the seller when accepted in writing by the buyer and subsequently approved by an authorized representative of the seller at the UNITED plant, and thereupon shall constitute the entire agreement between the parties pending credit approval. No representative of the seller is authorized to modify these terms and conditions unless modification is contained in a written instrument signed by a company officer. Any stenographic or clerical errors appearing in the typed portion of the quotation may be corrected at any time by UNITED. Before shipment of a UNITED Universal Testing Machine, customer may at his/her option and expense travel to the United manufacturing facility in Huntington Beach, California, for preliminary approval/acceptance.
INSTALLATION & TRAINING. If installation charges or travel costs apply, they will be shown as a separate quotation line item. Factory training at the UNITED Huntington Beach facility is provided free of charge. The customer must pay for his/her own travel expenses. Customer participation is encouraged.
Limited casual training at the customer's facility is provided by the sales person when the machine is set up. Formal training at the customer's site may be arranged at our normal field engineering rate. Where requested, formal training and associated travel costs will be shown as a separate line item in this quotation. Continuing support for training or troubleshooting is provided by telephone and FAX under our optional extended support contract.
